User Terms& Conditions

Book My Lime provides an online platform that enables: (a) Organisers to create, promote and manage Events; (b) Users to discover and purchase Tickets; (c) eligible Users to securely resell Tickets purchased through the Platform; (d) Organisers and Users to manage their Tickets electronically. Book My Lime provides technology services only. Unless expressly stated otherwise, Book My Lime is not the organiser, promoter, producer, venue operator or sponsor of any Event listed on the Platform.

To use the Platform you must: (a) be at least eighteen (18) years of age, or otherwise have the consent of a parent or legal guardian; (b) have the legal capacity to enter into binding agreements; (c) provide accurate, complete and current information; (d) comply with these Terms and all applicable laws.

Certain features of the Platform require you to create a User Account. You agree to: (a) provide accurate and complete registration information; (b) maintain and promptly update your account information; (c) maintain the confidentiality of your username and password; (d) immediately notify Book My Lime of any unauthorised use of your account; (e) accept responsibility for all activity occurring through your account. You are responsible for maintaining the security of your account credentials. Book My Lime is entitled to treat every instruction received through your account as having been authorised by you unless we have received prior notice of unauthorised access.

Tickets may be purchased through the Platform using the payment methods made available at checkout. Your order constitutes an offer to purchase a Ticket. A contract for the purchase of a Ticket is formed only when: (a) payment has been successfully authorised; (b) Book My Lime has issued an electronic confirmation of purchase; and (c) a valid electronic Ticket has been generated. Book My Lime reserves the right to refuse, suspend or cancel any purchase where: payment cannot be authorised; fraudulent activity is suspected; pricing or technical errors have occurred; the purchase breaches these Terms; required by law or a Payment Processor.

Ticket prices are determined by the Organiser. Book My Lime may charge Platform Fees, payment processing fees, Marketplace Fees and other disclosed charges in connection with your use of the Platform. Applicable fees will be displayed before you complete your purchase. Unless otherwise expressly stated, all fees paid to Book My Lime are non-refundable.

Tickets purchased through Book My Lime are issued electronically. Each Ticket contains a unique QR code and other security features. You are responsible for safeguarding your Ticket and preventing unauthorised access to it. You must not: (a) copy or duplicate a Ticket; (b) alter or tamper with a Ticket or QR code; (c) reproduce or distribute a Ticket without authorisation; (d) attempt to gain entry using an altered, duplicated or fraudulent Ticket. Book My Lime may invalidate any Ticket that it reasonably believes has been duplicated, altered, fraudulently obtained or otherwise compromised. Possession of a Ticket does not guarantee admission where the Ticket has been cancelled, invalidated or used in breach of these Terms. Only the QR code recognised by Book My Lime as the current valid Ticket for admission shall permit entry to an Event.

8.1 Resale Marketplace Book My Lime operates a secure resale marketplace that allows Users to buy and sell eligible Tickets previously purchased through the Platform. The Resale Marketplace is intended to provide Users with a secure method of transferring ownership of Tickets while protecting Buyers against fraud and duplicate Tickets. Only Tickets originally purchased through Book My Lime are eligible for resale through the Platform. Tickets acquired through any other website, ticketing platform, third party or private sale cannot be listed for resale through Book My Lime. Book My Lime reserves the right to determine whether a Ticket is eligible for resale. 8.2 Listing a Ticket for Resale Users may list eligible Tickets for resale through their Book My Lime account, subject to any conditions imposed by the Organiser or Book My Lime. By listing a Ticket for resale, the Seller represents and warrants that: (a) they are the lawful owner of the Ticket; (b) the Ticket was validly purchased through Book My Lime; (c) the Ticket has not been transferred outside the Platform; (d) the Ticket is free from any dispute or competing ownership claim; (e) all information provided in the resale listing is true and accurate; (f) the resale complies with these Terms and all applicable laws. Book My Lime may remove or refuse any resale listing at its sole discretion. 8.3 Resale Price The Seller may set the resale price of an eligible Ticket, subject to any pricing restrictions imposed by the Organiser, applicable law or Book My Lime. Book My Lime reserves the right to establish minimum or maximum resale prices or otherwise limit resale pricing where reasonably necessary to prevent fraud, unfair pricing practices or abuse of the Platform. 8.4 Purchase of a Resale Ticket A User purchasing a resale Ticket acknowledges that the Ticket is being purchased from another User and not from the Organiser or Book My Lime. Book My Lime facilitates the resale transaction but does not become the buyer or seller of the Ticket. Upon successful completion of a resale purchase: (a) ownership of the Ticket immediately transfers to the Buyer; (b) the Seller irrevocably relinquishes all rights relating to the Ticket; (c) the Ticket shall thereafter belong solely to the Buyer. 8.5 QR Code Replacement To maintain the integrity and security of the Platform, every completed resale transaction automatically results in the replacement of the Ticket. Immediately upon completion of a resale: (a) the Seller's Ticket and QR code shall be permanently cancelled; (b) the cancelled QR code shall never again be accepted for admission; (c) Book My Lime shall generate a new Ticket containing a new unique QR code for the Buyer; (d) only the most recently issued Ticket recorded in Book My Lime's systems shall be recognised as valid for entry. Screenshots, copies or previously issued QR codes shall not entitle any person to admission once a resale has been completed. Book My Lime's electronic records shall be conclusive evidence of the identity of the lawful Ticket holder. 8.6 Payments to Sellers Book My Lime collects resale proceeds on behalf of the Seller. The Seller authorises Book My Lime to deduct from the resale proceeds: (a) Marketplace Fees; (b) payment processing fees; (c) applicable taxes; (d) refunds; (e) Chargebacks and Chargeback-related costs; (f) bank transfer fees; (g) currency conversion fees; (h) any amounts owed by the Seller to Book My Lime; and (i) any other deductions authorised by these Terms or required by law. Subject to these Terms, Book My Lime will ordinarily initiate payment of the net resale proceeds to the Seller within seven (7) Business Days after the successful completion of the Event. 8.7 Delayed Seller Payments Notwithstanding clause 8.6, Book My Lime may delay, suspend or withhold payment where it reasonably believes that doing so is necessary to: (a) investigate fraud or suspected unlawful activity; (b) verify the Seller's identity or banking information; (c) investigate a refund request or Chargeback; (d) comply with the requirements of a Payment Processor, financial institution or regulatory authority; (e) comply with applicable law; (f) investigate a breach of these Terms; or (g) protect Book My Lime, Buyers, Organisers or other Users from financial, legal or reputational risk. No interest shall accrue on any funds withheld under this clause. 8.8 Event Cancellation and Refunds Where an Event is cancelled, postponed without a suitable alternative, or otherwise qualifies for a refund under the applicable Refund Policy, any refund shall be payable only to the person who is recorded in Book My Lime's systems as the lawful holder of the Ticket at the time the refund is processed. A User who has validly resold a Ticket through the Platform shall have no entitlement to receive a refund in respect of that Ticket. 8.9 Fraudulent Resale Users must not: (a) list or sell a Ticket they do not own; (b) attempt to sell the same Ticket more than once; (c) duplicate, alter or distribute a QR code after listing or selling a Ticket; (d) transfer a Ticket outside the Platform after listing it for resale; (e) circumvent or attempt to circumvent the Platform's secure resale process; or (f) engage in any fraudulent or deceptive conduct relating to the resale of Tickets. Book My Lime may immediately cancel any resale transaction, invalidate Tickets, suspend or terminate User accounts, withhold payments and recover any losses arising from fraudulent or unauthorised activity. 8.10 Ownership Records Book My Lime maintains the official electronic register of ownership for every Ticket issued through the Platform. In the event of any dispute concerning ownership, transfer, admission, refund entitlement or any other matter relating to a Ticket, Book My Lime may rely exclusively upon its electronic records in determining the lawful holder of the Ticket. The determination of Book My Lime based upon its electronic records shall, in the absence of manifest error, be final and binding for the purposes of administering the Platform. 8.10 Payouts to Sellers 8.10.1 Collection of Sale Proceeds Book My Lime collects the purchase price for resale Tickets on behalf of the Seller solely for the purpose of facilitating the resale transaction and remitting the Seller's net proceeds in accordance with these Terms. 8.10.2 Deductions Before any payout is made, Book My Lime is authorised to deduct from the resale proceeds: (a) Marketplace Fees; (b) payment processing fees; (c) applicable taxes, duties or government charges; (d) refunds; (e) Chargebacks and all associated costs, including bank fees, payment processor fees and administrative costs; (f) currency conversion fees and bank transfer charges; (g) any reserve established under these Terms; (h) any amount owed by the Seller to Book My Lime under these Terms or any other agreement; and (i) any other deductions required by law or expressly authorised by these Terms. 8.10.3 Timing of Payouts Subject to these Terms, Book My Lime will ordinarily initiate payment of the Seller's net resale proceeds within seven (7) Business Days after the successful completion of the relevant Event. No payout shall be made before the Event has concluded unless Book My Lime expressly agrees otherwise in writing. 8.10.4 Payment Method Payouts will be made only to the bank account or other payment method registered to the Seller's Book My Lime account. The Seller is solely responsible for ensuring that all banking and payment information is complete, accurate and up to date. Book My Lime shall not be liable for any delay, failed payment or loss arising from inaccurate or incomplete payment information supplied by the Seller. 8.10.5 Delayed or Withheld Payouts Notwithstanding clause 8.X.3, Book My Lime may delay, suspend or withhold all or part of any payout where it reasonably believes that doing so is necessary to: (a) investigate suspected fraud, money laundering or other unlawful activity; (b) verify the Seller's identity, banking information or compliance documentation; (c) investigate customer complaints, refund requests, Chargebacks or disputed transactions; (d) comply with the requirements of a Payment Processor, financial institution or regulatory authority; (e) comply with applicable law or a court order; (f) investigate a suspected breach of these Terms; (g) establish, maintain or apply a reserve in accordance with these Terms; (h) secure funds that may be required to satisfy actual or anticipated refunds, Chargebacks, fines or other liabilities; or (i) otherwise protect Book My Lime, Buyers, Organisers or other Users from financial, legal or reputational risk. 8.10.6 No Interest No interest shall accrue or be payable on any funds held, delayed or withheld by Book My Lime in accordance with these Terms. 8.10.7 Right of Set-Off Book My Lime may offset any amount owed by the Seller against any current or future payout before remitting the balance. If the amounts owed exceed the funds held by Book My Lime, the Seller shall immediately pay the outstanding balance upon written demand. 8.10.8 Failed Payouts

9.1 Admission Admission to an Event is subject to: (a) possession of a valid Ticket; (b) compliance with these Terms; (c) compliance with any terms and conditions imposed by the Organiser or venue; and (d) any lawful directions given by the Organiser, venue management, security personnel or emergency services. Book My Lime does not control admission policies or venue operations and cannot guarantee admission where a User fails to comply with applicable entry requirements. 9.2 Proof of Identity The Organiser or venue may require a User to produce valid government-issued identification before permitting entry. Where a Ticket is issued in the name of a specific individual or where identity verification is reasonably required for security or fraud prevention purposes, failure to provide satisfactory identification may result in refusal of entry. Book My Lime shall not be liable where admission is refused in such circumstances. 9.3 Entry Requirements Users are responsible for reviewing all Event information before attending, including: (a) venue location; (b) start time; (c) minimum age requirements; (d) dress code; (e) prohibited items; (f) health and safety requirements; and (g) any other conditions published by the Organiser. Failure to comply with Event requirements may result in refusal of entry or removal from the Event without refund. 9.4 Late Arrival Late admission is entirely at the discretion of the Organiser or venue. Book My Lime accepts no responsibility where a User is refused entry due to late arrival. 9.5 Refusal of Entry An Organiser or venue may refuse admission to or remove any person who: (a) presents an invalid, cancelled, duplicated or altered Ticket; (b) refuses to comply with security procedures; (c) behaves in a threatening, abusive, violent or disruptive manner; (d) appears to be under the influence of alcohol or drugs to an extent that presents a risk to themselves or others; (e) possesses prohibited items; (f) breaches venue rules or applicable law; or (g) otherwise poses a safety or security risk.

Events are organised and controlled by the Organiser. Book My Lime is not responsible for changes to an Event. An Organiser may, subject to applicable law: (a) change the date; (b) change the time; (c) change the venue; (d) change performers, speakers or participants; (e) modify seating arrangements; (f) make any other reasonable changes to the Event. Where an Event is materially changed, postponed or cancelled, Book My Lime may notify affected Users using the contact information associated with their account. Users are responsible for ensuring that their contact details remain current.

Refunds are governed by the Book My Lime Refund Policy and any refund policy established by the Organiser, to the extent it does not conflict with applicable law or the Book My Lime Refund Policy. Users should carefully review the applicable refund policy before purchasing a Ticket. Unless otherwise required by law or expressly provided by the applicable refund policy, Tickets are non-refundable. Book My Lime may process refunds on behalf of the Organiser but is under no obligation to do so. Refunds, where approved, will ordinarily be returned to the original payment method used for the purchase unless Book My Lime determines that an alternative method is necessary or appropriate. Where a Ticket has been validly resold through the Platform, any refund shall be paid only to the User recorded by Book My Lime as the lawful holder of that Ticket at the time the refund is processed.

Users must use the Platform lawfully, honestly and responsibly. Users must not: (a) provide false or misleading information; (b) create multiple accounts to circumvent these Terms; (c) interfere with the operation or security of the Platform; (d) upload malicious software, viruses or harmful code; (e) use automated systems, bots or scripts without Book My Lime's prior written consent; (f) attempt to gain unauthorised access to any account, system or data; (g) impersonate another person or entity; (h) engage in fraudulent, deceptive or misleading conduct; (i) infringe the intellectual property or other rights of any person; (j) use the Platform for any unlawful purpose; or

Book My Lime is committed to maintaining a secure ticketing marketplace. Book My Lime may use automated systems, manual reviews and third-party fraud detection tools to identify suspicious activity. Book My Lime may, without prior notice: (a) cancel transactions; (b) invalidate Tickets; (c) suspend or terminate User accounts; (d) delay or withhold payments; (e) request additional identity verification; (f) report suspected unlawful conduct to law enforcement or regulatory authorities; or (g) take any other action reasonably necessary to protect the Platform or its Users.

All rights, title and interest in and to the Platform, including its software, design, logos, trademarks, graphics, text, databases and other content, are owned by or licensed to Book My Lime. Nothing in these Terms transfers any ownership rights to Users. Users may access and use the Platform solely for personal, lawful and non-commercial purposes.

15.1 Privacy Book My Lime collects, uses, stores and discloses personal information in accordance with its Privacy Policy. By using the Platform, you consent to the collection, use and disclosure of your personal information as described in the Privacy Policy. 15.2 Communications You consent to receiving communications from Book My Lime electronically, including by: (a) email; (b) SMS; (c) push notifications; (d) notifications within your Book My Lime account; and (e) other electronic means used by the Platform. These communications may relate to: Ticket purchases; Event updates; Event reminders; changes to an Event; cancellations; refunds; resale transactions; account security; verification requests; Platform updates; customer support; and changes to these Terms. Electronic communications satisfy any legal requirement that communications be in writing. 15.3 Marketing Communications Where permitted by law, Book My Lime may send promotional communications regarding Events, products, services or special offers.

The Platform may contain links to or integrate with third-party websites, payment providers, mapping services, social media platforms or other services. Book My Lime does not own or control such third-party services and is not responsible for their: (a) availability; (b) accuracy; (c) security; (d) privacy practices; (e) products or services; or (f) content.

The Platform and all Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Book My Lime disclaims all warranties, representations and guarantees, whether express, implied or statutory, including warranties of: (a) merchantability; (b) fitness for a particular purpose; (c) non-infringement; (d) uninterrupted availability; (e) accuracy; and (f) security. Book My Lime does not warrant that: (a) the Platform will always be available; (b) the Platform will operate without interruption or error; (c) defects will be corrected; (d) the Platform will be free from viruses or other harmful components; (e) Events will proceed as advertised; (f) Users will be able to purchase Tickets for any particular Event; or (g) any resale Ticket will remain available until checkout has been successfully completed.

To the fullest extent permitted by law, Book My Lime shall not be liable for any indirect, incidental, consequential, exemplary, punitive or special damages, including loss of profits, revenue, goodwill, anticipated savings, business opportunity or data arising from or relating to: (a) use of or inability to use the Platform; (b) cancellation, postponement or alteration of an Event; (c) acts or omissions of an Organiser; (d) acts or omissions of another User; (e) venue decisions regarding admission; (f) payment processor failures; (g) internet or telecommunications failures; (h) unauthorised access to your account resulting from your failure to protect your login credentials; or (i) any matter beyond Book My Lime's reasonable control. Nothing in these Terms shall make Book My Lime responsible for the organisation, quality, safety, legality or successful delivery of an Event. To the fullest extent permitted by law, Book My Lime's total liability arising out of or relating to these Terms shall not exceed the total Platform Fees actually received by Book My Lime in connection with the Ticket or resale transaction giving rise to the claim.

You agree to indemnify, defend and hold harmless Book My Lime, its affiliates, directors, officers, employees, contractors and agents from and against any claims, actions, proceedings, losses, liabilities, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Platform; (c) your violation of applicable law; (d) your fraudulent or unlawful conduct; (e) your infringement of any intellectual property or other rights of another person; or

Book My Lime may, with or without prior notice, suspend, restrict or terminate your account or access to the Platform where it reasonably believes that: (a) you have breached these Terms; (b) fraudulent or unlawful activity has occurred; (c) your account presents a security risk; (d) you have provided false or misleading information; (e) your conduct exposes Book My Lime or other Users to legal, financial or reputational risk; (f) suspension is required by law, a court order, a Payment Processor or another regulatory authority; or (g) suspension is otherwise reasonably necessary to protect the Platform or its Users. Book My Lime may also cancel Tickets, suspend resale privileges, withhold payments relating to resale transactions and remove listings where necessary to enforce these Terms.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.

23.1 Changes to these Terms Book My Lime may amend these Terms from time to time by publishing an updated version on the Platform. The revised Terms shall take effect on the date specified in the updated version. Your continued use of the Platform after that date constitutes acceptance of the revised Terms. 23.2 Entire Agreement These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy and any other policies incorporated by reference, constitute the entire agreement between you and Book My Lime regarding your use of the Platform. 23.3 Severability If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect. 23.4 No Waiver Any failure or delay by Book My Lime to exercise any right under these Terms shall not constitute a waiver of that right. 23.5 Assignment You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Book My Lime. Book My Lime may assign or transfer its rights and obligations under these Terms without restriction. 23.6 Electronic Acceptance By creating an account, purchasing a Ticket, listing a Ticket for resale, purchasing a resale Ticket or otherwise using the Platform, you acknowledge that you have read, understood and agree to be legally bound by these Terms. Your electronic acceptance of these Terms has the same legal force and effect as if you had signed a written agreement. 23.7 Survival Any provision which by its nature is intended to survive termination, including those relating to payments, refunds, resale transactions, Chargebacks, intellectual property, indemnities, limitations of liability and dispute resolution, shall survive termination of these Terms.

24.1 Book My Lime receives and processes payments solely for the purpose of facilitating Ticket purchases, Ticket resale transactions and payouts in accordance with these Terms. 24.2 Until funds are remitted to the applicable Organiser or Seller, Book My Lime may retain those funds for the purposes of: (a) processing payments; (b) facilitating refunds; (c) resolving Chargebacks and payment disputes; (d) complying with applicable law; (e) complying with the requirements of Payment Processors, financial institutions or regulatory authorities; (f) conducting fraud prevention and risk management activities; and (g) exercising any rights available to Book My Lime under these Terms. 24.3 Users acknowledge and agree that, unless expressly required by applicable law: (a) monies received by Book My Lime are not held in trust; (b) Book My Lime is not acting as a trustee, escrow agent, fiduciary or investment manager in relation to such funds; (c) no fiduciary relationship is created between Book My Lime and any User by virtue of Book My Lime receiving, holding or remitting payments; (d) Users are not entitled to any interest or investment return on monies held by Book My Lime; and (e) Book My Lime may hold, transfer and remit funds through one or more Payment Processors, financial institutions or payment service providers. 24.4 Book My Lime may deduct any amounts authorised under these Terms, including Platform Fees, Marketplace Fees, payment processing fees, refunds, Chargebacks, taxes, penalties, bank charges, legal costs and any other sums owed to Book My Lime, before remitting the balance to the applicable Organiser or Seller. 24.5 Nothing in these Terms shall prevent Book My Lime from withholding, delaying or offsetting payments where permitted by these Terms or required by law. 24.6 For the avoidance of doubt, Book My Lime does not guarantee the financial performance of any Organiser, Event or resale transaction and shall not be responsible for any loss arising from an Organiser's inability to perform its obligations or a User's breach of these Terms, except to the extent required by applicable law.
